These Terms of Service ("Terms") govern your access to and use of the Proxima (to be incorporated in Delaware) application ("App"), including any content, functionality, and services offered on or through the App. Please read these Terms carefully before using the App. 

By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.

1. Account Registration

a. In order to use the App, you must register for an account by providing accurate and complete information.

b. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Use of the App

a. You agree to use the App only for its intended purposes and in accordance with these Terms.

b. You agree not to use the App for any unlawful or prohibited purpose or in any manner that could damage, disable, overburden, or impair the functionality of the App.

3. Location Sharing

a. By using the App, you consent to sharing your location information with Proxima, whether you are actively using the App or not.

b. Proxima uses your location information to provide you with the best matching experience on the App.

4. Matching and Messaging

a. When you like another user on the App, they will receive an alert indicating your interest.

b. If both users mutually like each other, their names will be revealed to each other, indicating a match.

c. Users are encouraged to use the messaging feature to communicate with their matches and arrange in-person meetings.

5. Safety Features

a. Proxima offers geofencing features that remove a user from the proximity feed when they enter places they have designated as their place of work or home.

6. User Conduct

a. Users must act in accordance with the intended usage of the App. Any deviations or misuse of the App may result in termination of your account.

7. Indemnity

a. You agree to indemnify and hold harmless Proxima and its beneficial owners from any claims, damages, liabilities, costs, or expenses arising out of or related to your use of the App.

8. Limitation of Liability

a. Proxima is not liable for any outcomes resulting from the use of the App, including but not limited to matches made or actions taken by users outside of the App.

9. Termination

a. Proxima reserves the right to terminate or suspend your account and access to the App at any time and for any reason without prior notice.

10. Governing Law

a. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law provisions.

11. Aggregated User Data

a. Aggregate Data Sharing: We reserve the right to provide aggregated user data, which does not personally identify individuals, to potential advertisers looking to advertise content within the Proxima app. This aggregated data may include demographic information and platform usage data, such as location and duration of app usage.

b. Use of Aggregate Data: Advertisers may use this aggregated data to better understand the demographics and behaviors of Proxima users in order to tailor their advertising content and strategies.

c. No Personally Identifiable Information: Please note that this aggregated data does not include any personally identifiable information and is used solely for advertising purposes.
